🔒 DEFINITIONS AND SCOPE

Effective Date: July 17, 2025

"Platform" refers to Zynora, all associated websites, applications, services, and tools.

"User" means any individual or entity accessing or using the Platform.

"Services" include token creation, launching, trading facilitation, and any related functionalities.

"Tokens" refers to any digital assets, cryptocurrencies, or blockchain-based instruments created through our Platform.

"SPL" refers to Solana Program Library token standards.

💀 ABSOLUTE NO REFUND POLICY

User acknowledges and agrees that:

• ALL transactions are FINAL and IRREVERSIBLE
• NO refunds, credits, or compensation under ANY circumstances
• Technical failures DO NOT entitle User to refunds
• Token failures, losses, or worthlessness DO NOT entitle User to refunds
• Platform downtime, bugs, or malfunctions DO NOT entitle User to refunds
• Market crashes, rug pulls, or scams DO NOT entitle User to refunds
• User errors, mistakes, or poor decisions DO NOT entitle User to refunds
• Regulatory actions or legal issues DO NOT entitle User to refunds

🛡️ MAXIMUM LIABILITY LIMITATION

User waives ALL rights to seek damages including:

• Direct, indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Token value depreciation or total loss
• Technical failures or security breaches
• Third-party actions or market manipulation
• Emotional distress or mental anguish
• Lost time, effort, or opportunity costs

⚠️ COMPREHENSIVE DISCLAIMER

We explicitly disclaim ALL warranties:

• MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT
• Accuracy, completeness, or reliability of information
• Platform availability, uptime, or functionality
• Security, data protection, or privacy
• Token performance, value, or legitimacy
• Regulatory compliance or legal standing
• Solana blockchain stability or performance

🎯 USER ASSUMPTION OF ALL RISKS

Risks include but are not limited to:

• Cryptocurrency volatility and market crashes
• Regulatory changes and legal uncertainties
• Platform technical failures or bugs
• Solana blockchain congestion or failures
• Smart contract vulnerabilities or exploits
• Rug pulls, scams, and fraudulent activities
• Complete loss of ALL investments and funds
• Liquidity issues and trading problems
• Wallet connection problems or loss of private keys

🔥 INDEMNIFICATION CLAUSE

User agrees to indemnify Zynora against:

• ALL claims, damages, losses, and expenses
• Attorney fees and legal costs
• Regulatory fines or penalties
• Third-party lawsuits or claims
• User's violation of these Terms
• User's illegal or unauthorized activities

🌊 FORCE MAJEURE PROTECTION

Zynora has NO liability for issues caused by:

• Government actions, regulations, or investigations
• Solana network issues or maintenance
• Internet outages or connectivity problems
• Cyber attacks, hacking, or security breaches
• Natural disasters or acts of God
• Market manipulation or whale activities
• Third-party service disruptions

⛔ PROHIBITED ACTIVITIES

Strictly prohibited:

• Illegal activities or money laundering
• Market manipulation or pump-and-dump schemes
• Hacking, exploiting, or reverse engineering
• Creating fraudulent or misleading tokens
• Violating intellectual property rights
• Providing false information or identity
• Attempting to circumvent platform restrictions

🏢 CORPORATE SHELL & AGENT DISCLAIMER

Corporate Protection:

• Zynora is operated by a limited liability entity
• Officers, directors, contractors, and agents are not individually liable
• Use of platform constitutes waiver of any personal legal claims against such individuals
• This site operates purely as a software interface
• Users are responsible for any token created
• Zynora does not promote or market user-generated tokens
• Zynora disclaims all token-related outcomes

Financial Disclaimers:

• Zynora is not a financial institution, exchange, broker, or money transmitter
• We do not hold user funds, facilitate custody, or guarantee performance
• We do not custody or manage user funds
• All payments are user-initiated, blockchain-verified transfers
• Zynora never directly receives, holds, or transfers user assets
• Zynora cannot reverse or modify any transaction once broadcast
• All actions are final and irreversible once confirmed on-chain

🤝 NO PARTNERSHIP / NO FIDUCIARY DUTY

Relationship Disclaimers:

• Use of Zynora does not create partnership, joint venture, or fiduciary relationship
• We act only as a neutral software provider
• No ongoing relationship, service agreement, or mutual obligation established
• No duty to act in your best interest or maintain access to service
• No representation, support, or acting on behalf of token creators
• Each user operates independently and assumes sole liability

🛡️ SOFTWARE-AS-A-SERVICE SHIELD

Service Limitations:

• Zynora solely provides non-custodial, automated software tools
• Users bear full responsibility for actions taken using these tools
• Zynora does not monitor, verify, or intervene in user-generated content
• Token creation facilitated through direct interaction with Solana blockchain
• Zynora does not execute or store user transactions
• Users interact independently with open-source deployment mechanisms
• We provide only a passive graphical interface to user-controlled interactions

🚫 DISCLAIMER OF PLATFORM FUNCTIONALITY & OUTPUT

By accessing this platform, User acknowledges and agrees to the following conditions in full:

• Zynora does not directly deploy, trigger, broadcast, or interact with the Solana blockchain on behalf of the User.
• All user-initiated processes are executed asynchronously and externally, utilizing unaudited, open-source code repositories and decentralized endpoints which operate outside Zynora's infrastructure.
• No guarantee is made that any token, contract, or on-chain artifact will be successfully created, minted, or propagated to the Solana network.
• Failure of any expected output, including but not limited to token deployment, contract visibility, blockchain confirmation, or metadata propagation, does not entitle User to refund, compensation, support, or remedy of any kind.
• User bears 100% responsibility for verifying on-chain results, including token existence, metadata, and wallet balance reflection.
• Use of the platform constitutes agreement that Zynora provides only a passive graphical interface to user-initiated and user-controlled decentralized interactions, and shall not be construed as a service provider, deployer, or facilitator in any legal, technical, or regulatory context.
• User irrevocably waives all legal claims against Zynora, its agents, developers, contractors, and operators arising from transaction failures, contract errors, non-execution, or any absence of expected token results.

🔐 TOKEN OUTPUT & PROMOTION DISCLAIMER

Token Disclaimers:

• Zynora does not inspect, verify, or test tokens created via the platform
• Functionality, accuracy, security, and legality of token code is not guaranteed
• Zynora does not market, promote, list, rank, or endorse any token
• All visibility, liquidity, and interest are generated independently by users
• Zynora does not advise, solicit, or encourage investment in any token
• Use at your own risk

System Disclaimers:

• Zynora may use automated or AI-based systems to facilitate operations
• These systems are not human-reviewed and may contain limitations, bugs, or false outputs
• These Terms may be updated without notice
• Continued use after any change constitutes acceptance
• Users are expected to re-review Terms regularly
